Company-wide Terms of Service

These Terms govern devignlb.com, Devign product websites, paid software subscriptions, digital services and custom projects supplied by Devign LLC ("Devign", "we", "us" or "our"). Product-specific terms may also apply. If product-specific terms conflict with these company-wide Terms, the product-specific terms control only for that product.

Company-wide terms

1. Business identity and contact

Devign LLC is a Wyoming limited liability company. Our registered and mailing address is 5830 E 2nd St, Ste 7000 #23016, Casper, WY 82609, United States. Devign is remote-first and its team operates remotely from Lebanon. Customer support is available at info@devignlb.com and +1 (307) 218-9637.

2. Eligibility and authority

You must be at least 18 years old and legally able to enter a contract. If you use a Service for an organisation, you confirm that you have authority to bind that organisation. You are responsible for accurate account and billing information and for activity under your credentials.

3. Products, orders and delivery

Product descriptions, supported platforms, delivery timing and current prices appear on the relevant product page or written quotation. Standard prices are stated in US dollars and exclude taxes. Applicable taxes may be added at checkout. Digital access is normally supplied immediately after payment authorisation. Custom-project scope, milestones, acceptance criteria and delivery dates are defined in the signed quotation or statement of work.

4. Subscriptions, trials and renewal

Paid subscriptions renew automatically at the price and frequency shown at checkout until cancelled. Before payment, we disclose the amount, currency, billing frequency, any trial period and how to cancel. A trial does not create a charge unless the checkout clearly states that a payment method will be charged after the trial. You may cancel through the product account or Stripe billing portal where available, or by emailing info@devignlb.com. Cancellation stops future renewals and normally takes effect at the end of the current paid period.

5. Payments, taxes and receipts

Devign LLC is the merchant for products sold directly by Devign. Card payments are processed by Stripe. Devign does not receive or store complete card numbers. You authorise Devign and its processor to charge the amount disclosed at checkout. Prices exclude sales tax, VAT and similar taxes. Taxes required by law may be added at checkout. We provide an electronic receipt after a successful charge.

6. Refunds and cancellation

Devign LIVE Games and Reactor follow their own Terms at gaming.devignlb.com/legal/terms for cancelling, withdrawing and refunds, including a 14-day right of withdrawal for consumers, and those Terms take precedence over this section. For our other products: charges are non-refundable and non-creditable except where required by applicable law, for a duplicate or incorrect charge, or when Devign materially fails to deliver the paid Service and cannot remedy that failure within a reasonable time. We do not provide prorated refunds for unused time after cancellation. Full conditions and the request process appear in our Refund and Cancellation Policy.

7. Custom projects

A signed quotation or statement of work controls the project scope, price and milestones. Unless that document says otherwise, paid deposits, accepted milestones, work already performed and non-cancellable third-party costs are non-refundable. If a client cancels, the client remains responsible for work performed and committed costs through the cancellation date. Rights in custom deliverables transfer only after all applicable invoices are paid, except for Devign tools, libraries, pre-existing materials and third-party components.

8. Acceptable use

You must not use a Service unlawfully, interfere with its security or operation, access another user's data, bypass access controls, scrape or automate access without permission, distribute malware, infringe intellectual-property or privacy rights, or use Devign products to facilitate prohibited payments, gambling, fraud, harassment or deceptive activity.

9. Third-party services

Some Services integrate with providers such as Stripe, Apple, Google, TikTok and hosting or communications vendors. Their services are governed by their own terms. Devign is not affiliated with or endorsed by TikTok unless a product page expressly states a verified relationship. Third-party outages and policy changes may affect a feature.

10. Availability and warranties

We use reasonable care to operate our Services, but they are provided on an "as available" basis. To the maximum extent permitted by law, we disclaim implied warranties that are not expressly stated. We do not guarantee uninterrupted availability, business results, creator earnings, platform approval, visa outcomes or medical outcomes.

11. Liability

To the maximum extent permitted by law, Devign is not liable for indirect, incidental, special or consequential loss. Devign's aggregate liability for a paid Service is limited to the amount you paid Devign for that Service during the six months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot legally be limited.

12. Suspension and termination

We may suspend or terminate access for material breach, unlawful use, security risk, non-payment or conduct that threatens users or the Service. Where reasonably possible, we provide notice and an opportunity to remedy. Product-specific data export and deletion rules continue to apply.

13. Governing law

These company-wide Terms are governed by Wyoming law, without regard to conflict-of-law rules. Courts located in Natrona County, Wyoming have jurisdiction, except where mandatory consumer law gives you rights or a forum that cannot be waived.

14. Changes

We may update these Terms. Material changes to paid subscriptions will be notified before they take effect. Continued use after the effective date means you accept the updated Terms, except where applicable law requires additional consent.

Product-specific appendix: Devign Creator Agency Member

The following additional terms apply only to the Devign Creator Agency Member app.

Welcome to Devign Creator Agency Member (the "App"), the official mobile application of Devign Creator Agency, operated by Devign LLC. By using the Devign Creator Agency Member app (available on Google Play and the Apple App Store) and our website at www.devignlb.com (collectively, the "Service"), you agree to these Terms of Service.

1. Eligibility

The Service is intended for TikTok Live creators who are active or pending members of Devign Agency. You must be 18 years or older to use the Service.

2. Your Account

You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately at info@devignlb.com of any unauthorized access. Devign LLC is not liable for losses resulting from unauthorized use of your account.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to access other users' accounts or data
• Reverse engineer or tamper with the app or backend systems
• Share your account credentials with third parties
• Use automated tools or bots to interact with the Service

4. Content and Data

You retain ownership of your personal data. By using the Service, you allow Devign LLC to store and display your streaming statistics and account information within the app solely to provide the Service.

5. Rewards and Points

Dpoints and coins earned through the Service have no cash value and are not transferable. Devign LLC reserves the right to modify, suspend, or discontinue the rewards program at any time.

Dpoints and coins expire if you do not open the app for 60 consecutive days. Opening the app resets that period. We send a reminder in the app about a week before a balance expires. Expired balances are not restored. This rule applies from 22 September 2026.

6. Termination

Devign LLC may suspend or terminate access for a material breach of these Terms, unlawful use, a security risk or conduct that threatens users or the Service. Where reasonably possible, we provide notice and an opportunity to remedy. The app is free, so termination does not create a refund, but nothing here removes a remedy that applicable law requires.

7. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind. Devign LLC does not guarantee uninterrupted or error-free operation of the Service.

8. Limitation of Liability

To the maximum extent permitted by law, Devign LLC shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.

9. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. Updates will be posted at devignlb.com/terms.

11. TikTok Login Kit

Note: On the TikTok Developer Portal, the registered TikTok integration "app" associated with these Terms is named exactly Devign Creator Agency Member, matching the same name published on the Apple App Store and Google Play and on this website.

The Devign Creator Agency Member app integrates TikTok Login Kit, the official authentication integration product provided by TikTok, — TikTok's official authentication product, which operates under the same TikTok name and brand as TikTok's developer integration platform — as a sign-in option. When you sign in to the Devign Creator Agency Member app via TikTok, you authorize TikTok to share a limited set of profile fields (open_id, display_name, and avatar) with the Devign Creator Agency Member app under the user.info.basic scope. Your TikTok password is never sent to or stored by Devign LLC.

By using TikTok Login Kit within the app, you also agree to TikTok's own Terms of Service and Privacy Policy. You can revoke the app's TikTok access at any time from your TikTok account settings under Manage app permissions; for full Devign account deletion, contact us at the email below.
